This Subscription, Billing, Cancellation and Refund Policy (this "Policy") is incorporated into and forms part of the Zeus Terms of Service (the "Terms") and applies to every Customer, Workspace, Subscription, Trial and Free Plan. By accessing or using the Services, and additionally by completing a purchase through the App Store or Google Play, the Customer agrees to this Policy. Capitalized terms not defined here have the meanings given in the Terms and the Defined Terms Register. Where this Policy and the Terms conflict, the Terms control except for the billing, cancellation and refund subject matter of this Policy (precedence tier 3). Jurisdiction-specific Supplements modify this Policy only to the extent mandatory law requires.
1. Scope; Plans; Fair Use
1.1 Scope of this Policy
This Policy governs: plans and plan gating; Trials, coupons, promotional and referral credits; Fees and payment; Taxes; automatic renewal (when billing is live); price changes; cancellation; refunds; chargebacks (when billing is live); Payment Records and the limits of Zeus's payment role; Customer Data on cancellation; billing disputes and claim windows; and App Store billing routing (if and when in-app purchases are made available). This Policy does not itself grant any right to use the Services; use rights arise solely under the Terms and remain conditioned on compliance and timely payment.
1.2 Plan content
Zeus offers three plans. Free includes one seat, unlimited jobs, quotes and invoices, job scheduling, customer records and job history, and data export; job photos and documents, project management, and team management with more than one seat are not included in Free. Pro includes one seat at C$39 per month, or C$348 per year charged once in advance. Crew is sold in four sizes, each a separate Subscription: five seats at C$99 per month or C$948 per year charged once in advance; ten seats at C$174 per month; fifteen seats at C$249 per month; and unlimited seats at C$349 per month. Annual billing is available on the five-seat size only. Seats are not purchased individually: a Customer needing more seats than their current size provides moves to a larger size.
Where Zeus publishes an introductory price, it applies to the first three paid months of a monthly Subscription only, and is not available with annual billing. For Pro it is C$19 a month. For the Crew sizes it is a reduction applied by the App Store to that size's list price, so the amount charged is the reduced figure the store shows at the point of purchase. An introductory price is available only to a Customer who has not previously held a Subscription, and that eligibility is determined and enforced by the App Store. Introductory pricing is discounted paid service and is not a free trial, and the Subscription continues at the list price stated above when that period ends (Section 6.3).
Prices are stated in the currency shown at checkout. Taxes, payment-processing charges, add-ons and separately priced services are excluded.
The plans Zeus offers, what each one includes and the price of each are also described on the Zeus pricing page and on the plan screen inside the Zeus mobile application. Those descriptions, as published from time to time, are the plan content for the purposes of this Policy, and where they and the figures above differ the published descriptions govern what a plan contains and costs; this Policy governs the billing, cancellation and refund mechanics. Plan content, prices, included seats and limits may change under Section 6.
1.3 Plan Limits; Fair Use
All plans — including any plan, feature or quota described with words such as "unlimited" — are subject to Plan Limits (fair-use ceilings) that Zeus sets and may change at any time in its sole discretion. The Plan Limits in force are stated on the pricing page or in the Documentation. When the Customer reaches a Plan Limit, the affected capability stops, including actions already scheduled or queued before the limit was reached, and does not resume until the applicable limit resets, the Customer upgrades, or Zeus in its discretion raises the limit. Zeus may impose transaction-volume, document, messaging-send, API-call, storage and other usage limitations on any feature at any time, and excessive or abusive use is grounds for Suspension under the Terms and this Policy.
1.4 Free Plan
The Free Plan is a permanent no-charge tier; it is not time-limited, but it is provided with Trial-grade protections. Zeus may modify, limit, suspend, convert to paid (on notice), restrict or terminate the Free Plan or any Free Plan account at any time, with or without notice, without cause and without any obligation or liability to the Customer, including for extended inactivity. Zeus has no warranty, indemnity, support or other obligations of any kind in respect of the Free Plan, Trials or Beta Features; if any liability nonetheless survives under applicable law, the aggregate liability of the Zeus Parties for the Free Plan, Trials and Beta Features is capped at USD $100, coordinated with (and never additive to) the aggregate cap in the Terms (the lesser of (a) the amounts you actually paid to Zeus (if any) in the twelve (12) months preceding the event giving rise to the liability or (b) one hundred United States dollars (USD $100)).
2. Trials, Coupons, Promotional and Referral Credits
2.1 Trial
The Trial is a discretionary evaluation offer. Zeus may modify, cancel, limit or terminate the Trial or any Trial account at any time, with or without notice, and without liability or explanation to the Customer or any user. The Trial runs for thirty (30) days measured from the date on which the Customer activates the Trial; no payment card is required to start the Trial, and the Trial is not a paid Subscription. The Trial covers the product features of the plan on trial, except that metered services — including SMS, artificial-intelligence features, receipt scanning and high-volume document processing — draw on separately configured trial allowances and may be unavailable during the Trial. When the Trial ends, trial-level entitlements end and the Customer selects a plan; an account that continues on the Free Plan keeps access to the Services under Free Plan entitlements. The end of the Trial is not of itself a basis for Zeus to delete the account or Customer Content; retention and deletion are governed by the Data Retention and Deletion Policy and by Section 8. One Trial is permitted per business; Zeus may determine trial abuse (including repeat, serial or overlapping trials, or trials started with untrue signup data) in its sole discretion, may charge for further trial use as a service at its then-current rates, and may terminate abusive Trial accounts immediately. Trials are provided as-is, with no warranty, support, indemnity or other obligations of any kind.
2.2 Trial conversion — conditional on billing
Zeus does not today charge any card at the end of the Trial, because the live Trial takes no payment card. If and when Zeus makes a purchase path with stored payment methods available and the Customer provides a payment method during or after a Trial, the following applies: the payment method on file will be charged the then-current Fee for the selected plan on the day the Trial ends, unless the Customer cancels as described in Section 7.1 before Trial expiry; failure to cancel before expiry constitutes authorization of that charge; and no prorated or partial refund is owed on cancellation after conversion.
2.3 Coupons, promotional codes and promotional credits
Coupons, promotional codes, discounts and promotional credits: (a) have no cash value, are not legal tender, and may never be redeemed or exchanged for cash or converted into a refund; (b) may be applied only against future Fees and never against past purchases; (c) are non-transferable and non-assignable; (d) expire on the earlier of any stated expiry date or the termination or cancellation of the Customer's account, and are forfeited on Suspension or Termination; (e) may be modified, limited, suspended, canceled or revoked by Zeus at any time in its sole discretion, before or after redemption; (f) do not stack — one offer per Customer at a time, and reactivating a canceled account forfeits prior offers; (g) are shed at renewal — any renewal occurs at then-current list price without promotional discounts; and (h) on any breach of the Agreement or payment default, Zeus may retroactively revoke past discounts and invoice the difference between discounted and list Fees.
2.4 Referral credits
Referral rewards are governed by the Partner and Referral Terms and this Section. Referral rewards are granted as subscription-time credit (30 days of Pro plan access per qualified referral), never as cash, and every restriction in Section 2.3 applies to them: no cash value, no refund conversion, non-transferable, revocable, forfeited on Termination. Zeus may withhold, void or claw back referral rewards on suspicion of fraud, abuse or improper activity, determined in Zeus's sole discretion, and may terminate the referral program at any time.
2.5 Beta Features
Beta Features are not part of the Services and are governed by the Beta and Preview Features Addendum. If Zeus offers any Beta Feature, it is provided as-is and as-available, with every warranty, support, uptime, data-retention and data-return commitment disclaimed to the maximum extent permitted, and the total aggregate liability of the Zeus Parties in connection with Beta Features shall not exceed USD $100, notwithstanding anything to the contrary and coordinated with the aggregate cap in the Terms.
3. Fees and Payment
3.1 Fees; currency; payment in advance
All Fees are payable in advance in the currency of the Customer's account region (CAD (additional currencies, if offered, as shown at checkout)), are stated exclusive of Taxes, and are due regardless of the Customer's degree of use of the Services. The Customer is responsible for payment of the entirety of the Fees for the committed Subscription Term, regardless of any installment or billing frequency selected: an installment or monthly-billing option is a payment schedule only and does not reduce, condition or stagger the accrual of the full Subscription Term obligation, which accrues in full at purchase.
3.2 Non-cancelable commitment; acceleration; late amounts; suspension accrual
The full Fee for a committed Subscription Term is a non-cancelable payment obligation from the moment of purchase. Cancelling mid-term stops renewal only: every remaining installment of the committed Subscription Term remains owed. Zeus may, in its sole discretion, declare all remaining Fees for the Subscription Term immediately due and payable in full upon any payment delinquency not cured within fifteen (15) days of written notice, and all outstanding and uninvoiced amounts accelerate and become immediately due on any Termination. Late amounts bear interest at 1.5% per month (19.56% per annum), compounded monthly, or the maximum rate permitted by applicable law if lower, from the due date until paid. Fees continue to accrue in full, without credit or abatement, during any Suspension, including Suspension for non-payment.
3.3 No set-off; Zeus set-off; conclusive acceptance of charges
All payments must be made in full without set-off, counterclaim, withholding or deduction of any kind. Zeus may set off any amount it owes the Customer (including refunds or credits Zeus elects to grant) against any amount the Customer owes Zeus, at any time and without notice. Any charge that the Customer does not dispute in a writing delivered to [email protected] within sixty (60) days after the date of the charge is conclusively deemed accepted, accurate and waived as a basis for any claim, credit or refund.
3.4 Collection costs
The Customer is liable for all costs Zeus incurs to collect any amount owed under the Agreement, in addition to the amounts owed, including attorneys' fees and expenses, arbitration and court costs, collection-agency fees and commissions, and interest under Section 3.2. The Customer will also reimburse Zeus, at Zeus's then-current time-and-materials rates, for Zeus's reasonable costs of responding to subpoenas, law-enforcement demands or other compelled requests concerning the Customer's account or Customer Content, except where the applicable law prohibits recovery. This obligation is an indemnity-grade payment obligation and survives Termination.
3.5 No mid-term downgrades; seats; overages; pass-through charges
Except as Section 6.4 provides for a store-billed plan change the Customer starts, the Customer may not downgrade its plan, tier or seat count during a committed Subscription Term; downgrades take effect only at the next Renewal Date. Seats are purchased capacity: the Subscription is charged for the number of seats purchased, whether or not each seat is occupied and whether or not the person given a seat has accepted the invitation or used the Services, and the Customer may reassign a seat from one person to another. Deactivating a person frees that seat but does not reduce the Fee until the Customer reduces the purchased seat count. Sharing one seat's credentials between two or more people, or otherwise using a single set of credentials to give several people concurrent access, is a material violation of the Acceptable Use Policy. If usage exceeds the purchased plan, seats or Plan Limits, Zeus may charge the excess immediately at then-current rates, prorated for the remainder of the term, or bill it in arrears, at Zeus's election. The Customer must also reimburse Zeus for any fines, penalties, levies or third-party fees imposed on Zeus by any government body, network, carrier or other third party as a result of the Customer's use of the Services or breach of the Agreement.
3.6 Stored payment methods; retries; NSF fees — conditional on billing
Zeus does not store or charge any Customer payment card. Subscriptions are sold through the App Store and Google Play; the store collects payment, holds the payment method, and applies its own retry and dunning rules, and Zeus receives no card or other payment-instrument details at any point. If and when Zeus makes card billing or another stored-payment-method purchase path of its own available and the Customer provides a payment method directly to Zeus, the following applies: (a) all Fees, Taxes and other amounts owed will be automatically debited from the payment method on file, on or after each due date, under a standing authorization that continues until canceled in writing at least fifteen (15) days before the next billing date; (b) if a charge is rejected or returned, Zeus may re-attempt the charge at its discretion for up to thirty (30) days against any payment method on file and may add a non-refundable NSF/decline fee per failed attempt at its published rate, in each case as permitted by applicable law and payment network rules; (c) silence or inaction constitutes authorization to charge the most recently used payment method; and (d) Zeus may use account-updater services to refresh stored card credentials.
3.7 Survival of payment obligations
All accrued and outstanding payment obligations — including Fees, Taxes, interest, collection costs, pass-through charges and, when billing is live, chargeback-related amounts — survive Termination, expiry, cancellation, Suspension and non-payment, together with every other provision of this Policy that by its nature should survive.
4. Taxes
4.1 Taxes on Fees; gross-up; exemptions
All Fees are exclusive of all taxes, levies, duties, tariffs and similar governmental assessments of any nature (including GST, HST, PST, QST, sales, use, value-added and withholding taxes). The Customer bears sole responsibility and liability for all such Taxes arising from its purchases, except taxes on Zeus's net income, and any such Tax is deemed added on top of the Fees payable. If any law requires the Customer to withhold or deduct any amount from a payment to Zeus, the amount payable is grossed up so that Zeus receives the full Fee it would have received absent the withholding. Zeus may calculate, invoice and apply Taxes to any charge. A tax exemption is honoured only where the Customer delivers a valid exemption certificate before the relevant transaction is processed; if the Customer does not provide an applicable tax registration number before a transaction is processed, Zeus will not issue refunds or credits for any tax charged; and any withholding relief claimed by the Customer is reversed — with the withheld amount immediately due — if a valid tax receipt is not provided within ninety (90) days. Where Zeus is registered for a sales, goods-and-services or value-added tax in your jurisdiction and is required to show its registration number, that number is stated on the invoice or receipt Zeus issues for the taxable supply.
4.2 Taxes on the Customer's own sales
Separately from Taxes on Fees: every sale the Customer makes to its Clients is strictly a transaction between the Customer and that Client. The Customer is solely responsible for determining, collecting, withholding, reporting and remitting all taxes in connection with its own sales, invoices, quotes and Payment Records, in every jurisdiction where it does business. Zeus's tax features only calculate and print tax lines from rates the Customer configures; Zeus provides no tax filing, remittance, monitoring or compliance service of any kind.
4.3 No tax, legal or accounting advice; audit hold-harmless
Nothing in the Services — including computed tax lines, totals, reports, receipt parses or any other Machine-Generated Output — constitutes tax, legal or accounting advice, and Zeus is not a tax preparer, adviser or filing agent. The Customer must have all tax configurations and outputs reviewed by its own qualified professionals before relying on them. The Customer holds Zeus harmless from all audit and assessment outcomes connected with reliance on the Services' computed tax lines or outputs, including additional taxes, penalties, interest, professional fees, amended-return requirements and deduction disallowance.
5. Automatic Renewal — conditional on billing
Subscriptions are sold through the App Store and Google Play and renew automatically under the store's own mechanics. Zeus itself auto-charges no stored card: the store performs every charge. This Section 5 is operative for store-billed Subscriptions; where it describes a charge made by Zeus directly, that part remains drafted in advance and takes effect only if and when Zeus makes a purchase path of its own available.
5.1 Automatic renewal; consent
Every paid Subscription, including all add-on features, automatically renews at the end of each Subscription Term, without further notice to the Customer, for successive renewal terms equal in length to the expiring term, at Zeus's then-current Fees. By creating an account and purchasing a Subscription, the Customer agrees to an ongoing, until-canceled subscription and consents to this automatic-renewal structure. The Customer's silence or inaction constitutes authorization to charge the payment method most recently used, on or after each Renewal Date, under the standing authorization in Section 3.6. Renewals shed promotional pricing: each renewal occurs at then-current list price without discounts, credits or promotional rates.
5.2 Cancellation burden; reminders are courtesies
The Customer bears the entire burden of cancelling before the Renewal Date; for annual Subscription Terms, cancellation or downgrade notice must be given at least thirty (30) days before the Renewal Date, failing which the Subscription renews for a further term of equal length. Cancellation takes effect only at the end of the then-current period; no mid-term conversion from annual to monthly billing is permitted; and renewal Fees, once charged, are non-refundable. Ceasing to use the Services, or uninstalling the application, does not cancel a Subscription; billing continues until the Customer cancels through the exclusive channel in Section 7.1. Any renewal or trial-ending reminder Zeus sends is a best-effort courtesy only; Zeus recommends the Customer set its own calendar reminder, and the absence, non-delivery or non-receipt of a reminder is not a ground to dispute, reverse or refund any charge.
5.3 App Store renewals
Subscriptions are sold through an App Store. Renewal and cancellation of store-billed Subscriptions are governed exclusively by the App Store's own subscription mechanics and terms, and the App Store Additional Terms control; unless the App Store's terms provide otherwise, a store-billed Subscription renews for a period equal to the original subscription term, and cancellation must be effected through the App Store's subscription-management features.
6. Price Changes; Introductory Pricing
6.1 Price changes
Zeus may change any Fee, plan price, charge, rate or Plan Limit prospectively at any time upon notice to the Customer, and such notice may take the form of an invoice, an in-app notice or a posting to Zeus's pricing page, including beginning to charge for features or functions previously offered free of charge. Continued use of the Services after a change constitutes acceptance of the changed pricing. Renewals occur at then-current list price. Zeus reserves the right to increase Fees by up to 10% annually on thirty (30) days' notice. Usage-triggered or tier-triggered Fee increases take effect immediately, prorated for the remainder of the term, and do not reverse within the term even if usage later falls; reducing seats or usage may result in a higher per-unit price at renewal. Increases in third-party costs (including processor, interchange, carrier or hosting costs) may be passed through to the Customer. Zeus offers no price protection: no refund, credit or adjustment is owed when prices drop, promotions run, or a lower-priced plan is introduced. The published pricing page and plan terms are incorporated into this Policy and are amendable in the same way; changes apply prospectively only.
6.2 Plan and feature changes
Plan names, pricing, included features, limits, usage thresholds, seat counts and fees may change from time to time, and Zeus may change what any plan tier includes, at any time, in its sole discretion, per the Modification Rights clause of the Terms. Changing plans (including any downgrade at renewal) may result in the loss of features — including legacy, promotional, beta or grandfathered features not available at the new tier — content or capacity, and Zeus accepts no liability for such loss.
6.3 Introductory pricing
Where Zeus publishes an introductory price for a plan, that price applies to the first three (3) paid months of the Subscription following the Trial. Introductory pricing does not overlap or extend the Trial, is not available in combination with annual billing, and applies to the plan and size for which it is published only — any other plan, size, or separately priced component is charged at its then-current rate throughout the introductory period. Introductory pricing is discounted paid service and is not a free trial. At the end of the introductory period the Subscription continues at the then-current list price for the plan and billing period selected. Introductory pricing is promotional, is offered at Zeus's discretion, is not transferable, does not extend to Taxes, add-ons, overages or features priced separately, and is otherwise subject to Section 2.
6.4 Plan changes started by the Customer: proration and seats
This Section governs a change of plan or Crew size that the Customer starts, and it controls over Sections 3.5 and 8.1 to the extent of any inconsistency. It does not change how a Subscription is cancelled, which is Section 7.1 and Section 13.
Where the change can be started. Where the Subscription was sold through Google Play, is active, and is billed monthly, the Zeus application can start a change to another monthly plan or Crew size from inside the application. Every other change — including any change to or from an annual billing period, any change to a Subscription sold through the Apple App Store or any other store, and any change to a Subscription that is not active — is made through the store's own subscription-management screen, and the application states which of those applies.
Starting a change does not make it. The store presents its own confirmation, the store takes any amount payable, and the change takes effect only when the store confirms it. Zeus quotes no proration amount and no renewal date of its own for a plan change; the figures and dates the store shows at its confirmation govern, and nothing displayed in the application before that confirmation is a statement of what the Customer will be charged.
Proration is the store's. Subject always to the store's own rules and to Section 13:
(a) A change to a plan or size that includes more seats takes effect immediately, the store charges the difference for the remainder of the current billing period at that time, and the renewal date does not move.
(b) A change to a plan or size that includes fewer seats takes effect immediately, and the time already paid for on the larger plan is applied as additional time on the smaller one, so the next renewal date moves later. A reduction produces no refund, credit or cash payment of any kind: the adjustment is time, not money, and Sections 8.1 and 8.2 continue to apply in full.
A reduction that would strand people is refused. For this purpose an occupied seat is every active member of the Workspace other than a helper, including the Account Owner; a deactivated member and an unaccepted invitation do not occupy a seat. Where a reduction would leave the Workspace with more occupied seats than the smaller plan or size includes, the application refuses to start it and states how many members must be removed first. The Customer must deactivate or remove that number of members before the change can be started, and choosing whom to remove is the Customer's decision alone.
That check is made when the Customer opens the plan-change screen. It is not a lock, and the Customer remains responsible for its own seat count: where the number of members changes after the check and a reduction nevertheless completes at the store, no member is signed out, no account is closed and no Customer Content is deleted. What happens instead is that the Workspace cannot add a further member, and each member beyond the purchased capacity keeps their login and their data but loses access to most of the Services until the Customer removes members or moves back to a larger size. The Account Owner is never affected in this way. This is a consequence of purchased capacity, not a Suspension under Section 7.3, and no refund or credit is owed for it.
What the Customer's plan includes is resolved from the store's record. Zeus determines entitlement from the subscription record the store's billing provider reports to Zeus, and from nothing else. A completed purchase or plan change means the store has taken the transaction; it is not itself a grant of access. A change becomes effective in the Services when Zeus receives that record, which is normally a matter of moments but is neither instantaneous nor guaranteed, and no statement made on the Customer's own device is an authority for what the Customer's plan includes. Where the store's record and anything shown in the application disagree, the store's record governs.
7. Cancellation; Non-Payment; Suspension
7.1 Cancellation channel
A store-billed Subscription is cancelled by the Account Owner through the App Store or Google Play, whichever sold it. Cancellation must be effected there: the store owns the billing relationship, and Zeus cannot cancel a store-billed Subscription on the Customer's behalf. The application links directly to the store's subscription-management screen for this purpose.
Where a Subscription was not sold through a store — an account placed on a plan by Zeus directly — a cancellation request sent to the support address published in this Policy is an effective cancellation, and takes effect on the date Zeus receives it. Zeus will not treat such a request as ineffective because it was made through the support channel. Cancellation takes effect at the end of the then-current billing period; the Customer retains access through the end of the period already paid for, and no refund or credit is owed for the remainder of the period. Ceasing to use the Services or uninstalling the application does not cancel a Subscription or stop Fees from accruing.
7.2 Trial expiry; inactivity
Trial accounts expire automatically, without notice, at the end of the Trial period; trial-level entitlements then end and the Customer selects a plan, as described in Section 2.1. An account that continues on the Free Plan keeps access to the Services under Free Plan entitlements, and the end of the Trial is not of itself a basis for Zeus to delete the account or Customer Content. Zeus may terminate unpaid accounts that remain inactive for a continuous period of one hundred twenty (120) days, following notice and an opportunity to export, in which case all data associated with the account may be deleted; paid accounts inactive for sixty (60) days may be terminated per the Terms.
7.3 Non-payment: suspension, reactivation, termination
If any amount owed is not paid within seven (7) days of its due date, or if any collection attempt fails for any reason (when billing is live), Zeus may suspend the Customer's access to any or all of the Services, without further notice and without liability. Fees continue to accrue in full during any non-payment Suspension; Suspension is not a breach by Zeus, generates no service credits, and is cumulative with every other remedy. Reinstatement after non-payment Suspension requires payment in full of all outstanding amounts in full. Payment default is a material breach; if it continues for fourteen (14) days, Zeus may terminate the Subscription and the Agreement without further notice, and Section 3.2 acceleration applies.
7.4 Effect of termination
Upon any Termination or expiry, the Customer must immediately cease all use of the Services, and all outstanding invoices and all uninvoiced amounts attributable to the period up to termination become immediately due and payable. Fees are non-refundable on any Termination, including Termination by Zeus for cause, for violation or otherwise, per Section 8. The treatment of Customer Data after Termination is governed by Section 11. Zeus's own termination rights, and the full termination-effect and survival architecture, are in the Terms.
8. Refunds
8.1 All Fees non-refundable; payment obligations non-cancelable
To the maximum extent permitted by applicable law, all Fees, all credits and all on-demand purchases are non-refundable, non-recoupable and final, and all payment obligations are non-cancelable, except as expressly provided in a written agreement signed by Zeus. Without limiting the foregoing, Zeus provides no refunds or credits for: partial billing periods or partial months; unused time, months, seats, features, storage or credits; inactive or unused users; downgraded plans; canceled add-ons; delayed onboarding; lack of use; user error; or any period of Suspension. No Termination by either party results in any refund — expressly including Termination by Zeus for cause, for violation of the Agreement, or otherwise — and Termination does not relieve the Customer of the obligation to pay all Fees accrued or payable, including all unpaid Fees through the end of the then-current Subscription Term. Where Zeus terminates, suspends or blocks an account for activities that violate the Agreement (including the Terms and the AUP), there is strictly no refund, full or pro-rated. Plan upgrades and downgrades earn no pro-rated refund; upgrades (and their charges) are effective immediately, and no refund is owed for the billing period in which a downgrade or other account change occurs. Where a store applies proration to a plan change under Section 6.4, it does so as an adjustment of time and of the amount the store charges, and it is not a refund, credit or payment by Zeus. Zeus offers no money-back, satisfaction or similar guarantee, and nothing in this Policy or any Zeus marketing creates one.
If Zeus, in its sole discretion, ever elects to grant a refund, that refund is a discretionary accommodation, not a precedent or entitlement; it excludes any differences caused by changes in currency exchange rates and any fees charged to the Customer by third parties (such as wire transfer fees); and Zeus may reject any refund request, or revoke refund accommodations, where Zeus determines abuse, bad faith or a violation of the Agreement has occurred.
8.2 Credits are future-billing offsets only
Any credit Zeus issues for any reason (including coupons, promotional credits, referral credits, or any goodwill or service credit) is applied only against future amounts payable to Zeus, has no cash value, is non-transferable, cannot be applied to any other account, and never converts to a monetary refund. Credits not applied or claimed within any window Zeus states for them are forfeited; cash refunds of credits are expressly excluded. Credit expiry, revocation and forfeiture-on-termination mechanics are in Sections 2.3 and 2.4.
8.3 No refunds for discontinued features or discontinuation of the Services
Zeus is not required to provide any refund, credit, benefit or other compensation in connection with any feature, module, integration, Beta Feature, or other element of the Services that is modified, limited, deprecated or discontinued, including Services or features dependent on third-party services that cease to be available. If the Services are discontinued in their entirety for any reason, all purchases terminate and no refund will be made. Discontinuation rights themselves are granted in the Terms; jurisdiction-specific mandatory remedies, where they exist, are addressed exclusively in the applicable Supplement (documents 13 and 14) per Section 14.3.
8.4 Professional and implementation services fees — conditional
Zeus subscriptions include no professional, implementation, migration, onboarding, training or consulting services, and Zeus sells none today. If and when Zeus makes Professional Services available under an executed SOW or Order Form, the following applies to their fees:
Professional Services are non-cancelable and all fees for Professional Services (including any implementation or onboarding fee) are non-refundable. Professional Services fees remain non-refundable even if the Customer's Trial, Subscription or account is canceled or terminated.
8.5 Refunds and the liability cap; exclusive remedy
The Customer's sole and exclusive right and remedy in case of dissatisfaction with the Services, this Policy, or any other grievance is termination (without refund) and discontinuation of access to and use of the Services. The Customer's only remedy for any error, omission, defect, deficiency, delay or other failure of the Services is to discontinue using the Services. Nothing in this Policy increases the aggregate liability cap in the Terms (the lesser of (a) the amounts you actually paid to Zeus (if any) in the twelve (12) months preceding the event giving rise to the liability or (b) one hundred United States dollars (USD $100)); amounts refunded or credited at Zeus's discretion are not additive to, and count against, that cap.
8.6 "Refunds" the Customer records for its own Clients
The Customer is the seller, service provider, contractor, merchant, and party responsible for the goods and services it sells, including any refund it chooses to give its own Clients. A "refund" recorded in the Services against an Client payment is a Payment Record — a bookkeeping reversing entry created by the Customer in its own records. It is not a refund of Fees by Zeus, involves no movement of funds by Zeus, and creates no Zeus obligation to the Customer or any Client. Every sale, refund, credit and adjustment between the Customer and its Clients is strictly between them; Section 10 governs Zeus's payment role.
9. Chargebacks — conditional on billing
Zeus does not charge any card, hold any stored payment method, or process card payments. Subscriptions are sold through the App Store and Google Play, and a payment dispute concerning a store-billed Subscription is handled by that store under its own terms and refund process, not by Zeus. This Section 9 governs chargebacks and payment disputes concerning ZEUS'S OWN CHARGES only; as Zeus makes no such charges today it remains drafted in advance. Nothing in this Section states or implies that Zeus processes cards.
9.1 No-chargeback covenant; support precondition
The Customer agrees not to dispute or charge back, with its bank, credit card company or any payment provider, any Zeus charge that corresponds to the terms of the Agreement and this Policy. Documented contact with Zeus support at [email protected] is a condition precedent to any payment dispute or chargeback, and the Customer must respond to Zeus's reasonable inquiries regarding any dispute. A missed or unread reminder or notification email is not a ground for disputing a charge.
9.2 Consequences of a chargeback
Any chargeback or payment dispute of a conforming charge is a breach of the Customer's payment obligations; Zeus may suspend, disable or terminate the Customer's use of the Services at Zeus's discretion, may charge a default fee, and Fees continue to accrue during any resulting disablement. Disputing a payment forfeits refund accommodations and future credits, and the Customer assumes responsibility for all legal and dispute-related fees and all collection costs under Section 3.4. Zeus reserves the right to report chargeback-related delinquencies to credit bureaus or credit agencies and to pursue collection efforts. The Customer agrees that Zeus may submit the policy agreements, notices, access logs and communications it holds to the Customer's bank or card issuer for transaction verification. A chargeback or payment dispute does not extinguish the underlying debt: the amount of the disputed charge, all related fees and all other outstanding amounts remain due and payable in full, and Zeus may hold and use any stored payment-method information to satisfy account balances, disputes, refunds, chargebacks and other liabilities, including by resubmitting a rejected or reversed charge under Section 3.6, as permitted by applicable law and payment network rules. Reinstatement after a chargeback-related Suspension requires payment in full of all outstanding amounts, including chargeback handling fees, and any applicable reactivation fee (none) under Section 7.3.
9.3 Chargebacks on contractor-received payments — reserved for the payments addendum
This Section 9 does not govern chargebacks, reversals or disputes concerning payments the Customer receives from its own Clients. Zeus today only records offline payments (Section 10) and moves no funds. If and when Zeus makes a payment-facilitation feature available, the complete contractor-side chargeback regime will be introduced in a separate conditional payments addendum presented at enablement.
10. Payment Records; No Money Movement by Zeus
10.1 Zeus's payment role
Zeus is a software record-keeper. Zeus is not a bank, money transmitter, lender, card network, payment processor, escrow agent, fiduciary, trustee, or financial institution. Payment Records, recorded balances, recorded "refunds" (reversing entries) and Payment Link statuses are records entered or triggered by the Customer; Zeus moves no funds, collects no Client payments, and guarantees no collection of any amount from the Customer's Clients. Zeus is not liable for payment-chain events of any kind, including processor errors, payment delays, denied transactions, frozen funds, chargebacks, payment disputes, Client nonpayment, End Customer claims, fraud, bank failures, or third-party financial-service outages. Every sale is strictly between the Customer and its Client, and the Customer is the seller, service provider, contractor, merchant, and party responsible for the goods and services it sells.
10.2 Customer compliance duties for recorded payments
Ensuring that the Customer's use of the Services — including every payment the Customer requests, records, collects or refunds — complies with applicable law is solely the Customer's responsibility, including obtaining all required authorizations and establishing all required terms, conditions and disclosures toward its Clients. If the Customer uses the Services in connection with recurring or subscription charges to its own Clients, the Customer is solely responsible for complying with applicable law and card-scheme rules, including clearly informing its Clients in advance. Record confirmations displayed by the Services confirm entry of a record only; they do not ensure error-free processing, collection, settlement or same-day effect of any underlying payment.
10.3 Card data; no PCI scope
The Services (including notes, photos, documents and the receipt-capture pipeline) are not designed for, and are not represented to be in compliance with, Payment Card Industry Data Security Standards (PCI-DSS) or Payment Application Data Security Standards (PA-DSS). The Customer must not enter, upload or store full payment-card numbers, CVV/CVC codes or other cardholder data anywhere in the Services — including in notes, custom fields, photos, or scanned or uploaded receipts. The Customer assumes all responsibility for any cardholder data entered into the Services in violation of this Section.
10.6 Conditional payments addendum
If and when Zeus makes a payment-facilitation feature available and the Customer enables or uses it, additional terms will apply under a separate conditional payments addendum presented at enablement. That addendum will carry the complete third-party-processor terms (direct processor contract, underwriting discretion, holds, provisional payouts, reserves, PCI duties, surcharge non-warranty, as-is payment services) and the applicable hosted-checkout description. Nothing in this Policy states that any such feature is available today.
11. Customer Data on Cancellation
11.1 Export before cancellation is the Customer's responsibility
Exporting Customer Data before cancellation, expiry or Termination — using the self-serve export available in the Services — is solely the Customer's responsibility. The Customer should complete its export before its Subscription or account ends; Zeus recommends maintaining independent backups of business-critical records at all times.
11.2 After termination: no retention duty; discretionary courtesy window; deletion
Upon Termination or expiry of the Agreement, a Subscription or an account, access to Customer Data through the Services ends, and Zeus has no obligation to maintain, retain, store or provide Customer Data, makes no warranty as to the availability or capability to transfer, use or export any Customer Data after termination, and has no obligation to provide migration, transition or export assistance unless expressly required by law or agreed in writing. As a discretionary courtesy only, Zeus may keep Customer Data retrievable for up to thirty (30) days after Termination; the format, method, manner and any fees of retrieval are at Zeus's sole discretion, retrieval assistance is provided on commercially reasonable efforts only, and Zeus makes no representation as to the integrity, completeness or timeliness of any data so retrieved or exported. No post-termination retrieval window applies to Free Plan or Trial accounts: Zeus will not provide access to Customer Data after termination or expiry of a Free Plan or Trial. From day 31 following Termination (or immediately, for Free Plan and Trial accounts), Zeus may permanently delete, archive, retain or anonymize Customer Data at its sole discretion, in accordance with its policies and applicable law. Zeus is not liable to the Customer or any third party for deletion, loss, corruption, export failure, or inability to access Customer Data after termination, suspension, downgrade, nonpayment or expiration. Third parties seeking Customer Data from Zeus (including under litigation holds) must follow Zeus's procedures. Any hand-over or transition assistance Zeus in its sole discretion agrees to provide is discretionary and may be billed at Zeus's then-current standard rates. Backup-copy purge mechanics, the retention schedule, and the survival by design of append-only audit and financial records are governed by the Data Retention and Deletion Policy (document 35); nothing in this Section 11 promises retention beyond that schedule.
12. Billing Disputes; Claim Windows
12.1 Billing dispute window; refund-request cutoff
Billing disputes are governed by Section 3.3: any charge not disputed in a writing delivered to [email protected] within sixty (60) days after the date of the charge is conclusively deemed accepted and accurate, and the Fees are considered entirely correct. Zeus will not entertain any refund request, including any request for a pro-rated refund, made outside the windows expressly stated in this Policy.
12.2 Time limits on Customer claims
The Customer must notify Zeus in writing of any claim arising out of or relating to this Policy, the Agreement or the Services within six (6) months of when the Customer first knew or reasonably should have known of the basis of the claim. No legal proceedings, regardless of form, arising under or relating to this Policy, the Agreement or the Services may be brought by the Customer more than six (6) months after the Customer first has actual knowledge of the facts giving rise to the cause of action. Failure to give timely notice or to commence timely proceedings extinguishes and permanently bars the claim. Where a jurisdiction prohibits the six-month limitation, the Customer's claim must be brought within the shortest period that jurisdiction permits, and in no event more than one (1) year after the claim accrues. Zeus's own claims — including claims for Fee recovery and collection — remain subject to the longest period applicable law allows.
13. App Store Billing Routing
Subscriptions are sold through Google Play, and through the Apple App Store where a Zeus application is published there. This Section 13 is operative for every store-billed Subscription and controls how those purchases, renewals, cancellations and refunds work.
13.1 Store purchases, renewals, cancellations and refunds follow the store's rules
Subscriptions purchased through an App Store are made under the App Store's own terms, and the subscription automatically renews for a period equal to the original subscription term unless otherwise provided through the applicable App Store's terms. Cancellation of an App Store-billed Subscription must be completed through the App Store's own subscription-management mechanics before the applicable renewal cut-off. Refunds for purchases made through an App Store must be requested through the applicable App Store; Zeus cannot assist with, grant or process refunds for subscriptions purchased through Apple or Google, and any refund is solely at the App Store's discretion under its rules. Where this Section applies, the App Store Additional Terms control over this Policy for store-billed purchases.
14. Savings and General Provisions
14.1 Amendment of this Policy
Zeus may, in its sole discretion, modify or revise this Policy (and every document it references) at any time by posting the amended version with a new version date at https://fieldzeus.com/legal; any such modification is effective upon posting. The Customer bears the burden of reviewing this Policy regularly; individual notice of changes is optional, and Zeus assumes no obligation to notify the Customer of changes. Continued use of the Services after a change is implemented — or silence — constitutes conclusive acceptance of the then-current version. Changes required by law, security, fraud prevention or upstream providers take effect immediately. Only Zeus may modify this Policy; no purchase order, course of dealing or oral statement varies it. An objecting Customer's only recourse is to stop using the Services and cancel under Section 7, and ceasing use does not erase obligations already accrued. This Section does not defeat introductory pricing already in effect under Section 6.3: an introductory price the Customer has begun to receive survives amendments to pricing-related provisions for the remainder of its three-month period, in accordance with its own terms.
14.2 Assignment
The Customer may not assign or transfer this Policy, the Agreement, or any right or license under them, whether voluntarily, involuntarily, by operation of law (including in a merger or change of control) or otherwise, without Zeus's prior written consent, and any attempted assignment without that consent is null and void. Zeus may assign, novate, transfer, delegate or sublicense this Policy and any rights or obligations under it, without the Customer's consent and without notice, to any affiliate, successor, acquirer, purchaser, investor or lender, or in connection with any merger, acquisition, financing, restructuring, sale of assets or change of control, including a transfer of ownership of the Services. The Customer has no termination right as the result of any Zeus corporate transaction, including an acquisition by a third party. This Policy binds and inures to the benefit of the parties' permitted successors and assigns and is enforceable by Zeus's successors.
14.3 Mandatory law; consumer savings; Supplements
Every limitation, exclusion, disclaimer, waiver, deadline and no-refund position in this Policy applies to the maximum extent permitted by applicable law. Nothing in this Policy excludes, restricts or modifies any right, guarantee or remedy that cannot lawfully be excluded, restricted or modified — including any non-excludable consumer guarantees of the Customer's country — and Zeus's liability will not be limited where Zeus is not legally allowed to limit it. Where the Customer is in Canada, the United States, Australia or New Zealand, the applicable Supplement modifies this Policy only to the extent mandatory law requires — including, for Australia and New Zealand, the statutory-guarantee treatment of the no-refund positions in Section 8 — and a Supplement never expands this Policy's obligations beyond what mandatory law requires. This Policy is directed to business customers acquiring the Services for business purposes; the term "Consumer" is used only within the Supplements' savings provisions.
14.4 Survival; severability; waiver
The following survive any termination, expiry, cancellation, suspension or nonpayment, and any ownership or entity change of the Customer: all payment obligations and accrued Fees; Sections 3 (Fees and Payment), 4 (Taxes), 8 (Refunds), 9 (Chargebacks, once operative), 10 (Payment Records), 11 (Customer Data on Cancellation), 12 (Billing Disputes; Claim Windows) and 14 (Savings and General); and any other provision that by its nature should survive. If any provision of this Policy is held invalid or unenforceable, that provision will be changed and interpreted so as to best accomplish its objectives to the fullest extent permitted by law, failing which it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect; this severability rule is subordinate to any non-severability (poison-pill) provision of the class action waiver in the Terms. No failure or delay by Zeus in enforcing any right waives it; a waiver is effective only in a signed writing and only for the specific instance; a waiver of one breach never waives any other or future breach.
